Terms of Service

About these terms These Terms of Service are a binding agreement between you and Levelation International. They govern your use of the Levelation Platform — the website at levelation.org, and the member portal, learning management system, assessment tools, AI-assisted features, community spaces, and mobile application as they become available. Some features described below are part of our forthcoming member platform and apply once you use them. Your privacy is governed by our Privacy & Cookie Policy, which is incorporated into these Terms by reference.

Agreement

Terms of Service

Welcome to Levelation. These Terms of Service (the “Terms”) explain the rules for using the Levelation Platform (the “Platform,” “Service,” or “Levelation”) operated by Levelation International (“Levelation,” “we,” “us,” or “our”). By creating an account, purchasing a membership, taking an assessment, enrolling in a course, or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

Plain-language summary — not a substitute for the full Terms Levelation provides resilience, leadership, and organizational tools, courses, and AI-assisted insights. Our assessments and AI outputs are informational and advisory only — they are not medical, psychological, legal, financial, or other professional advice. You keep ownership of the content you submit; you give us only the limited permission we need to run the Service. You can cancel a paid membership at any time. Disputes are handled in the courts of California, and nothing here takes away rights you have under the law of the place you live.

1.Agreement to these Terms

These Terms, together with our Privacy & Cookie Policy and any order page, plan description, or supplemental terms we present at the point of purchase, form the entire agreement between you and Levelation regarding the Platform. If a supplemental term conflicts with these Terms for a specific feature, the supplemental term controls for that feature. If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.

2.Who we are and how to reach us

The Platform is operated by Levelation International, 1900 Powell Street, Suite 700, Emeryville, California 94608, USA. For questions about these Terms or to send a legal notice, contact legal@levelation.org. For privacy requests, contact privacy@levelation.org. See Section 22 for full contact details.

3.The Levelation services

Levelation offers, or will offer as the member platform launches:

  • resilience, leadership, and organizational assessments mapped to public frameworks, with scores, visualizations, and growth pathways;
  • a learning management system with courses, exercises, certifications, and continuing-education credit;
  • AI-assisted features, including the AI Insights Engine and the AI Learning Companion;
  • community spaces, events, and cohort programs; and
  • a mobile application.

We may add, change, or discontinue features. We will give reasonable notice of material changes that adversely affect a paid feature you are actively using (see Section 19).

4.Eligibility and who may use the Platform

You must be at least 18 years old to enter into these Terms and hold an account on your own behalf. We also welcome learners who are 16 or 17, but only where a parent or legal guardian reviews and accepts these Terms on the minor’s behalf and supervises their use; in that case the parent or guardian is responsible for the minor’s compliance with these Terms. The Platform is not intended for children under 16, consistent with our Privacy & Cookie Policy. If your jurisdiction permits younger participants in a specific program, we will obtain verifiable parental consent before enrollment.

If you join through an employer, institution, or cohort that purchased your membership, your use may also be subject to that organization’s agreement with us and its own policies.

5.Your account and security

You agree to provide accurate information, to keep it current, and to keep your credentials confidential. You are responsible for activity under your account. Tell us promptly at legal@levelation.org if you suspect unauthorized use. We may offer passkeys, multi-factor authentication, or third-party sign-in (for example, Google or Microsoft); using those is subject to the provider’s terms. You may not share an individual account, sell or transfer it, or let others use it, except where an organization administers seats it has purchased.

6.Membership tiers, payments, billing, and renewals

Some features require a paid membership. Prices, billing periods, and what each tier includes are shown at the point of purchase. Payments are processed by our PCI-DSS-compliant payment processor (Whop) on its hosted checkout; we never receive or store your full card number (see Privacy Policy §1.7).

6.1 Authorization and renewal

When you start a paid membership, you authorize us and our payment processor to charge your payment method the then-current fee, plus applicable taxes, for the billing period you select. Paid memberships renew automatically at the end of each period at the then-current price until you cancel. We will tell you the renewal date and amount at purchase and, where required by law, send a renewal reminder.

6.2 Taxes and currency

Stated prices may exclude sales, use, VAT, GST, or similar taxes, which we add where required. You are responsible for those taxes other than taxes on our net income.

6.3 Price changes

We may change prices. A price change applies to your next renewal after we give you advance notice, and you may cancel before it takes effect if you do not accept the new price.

6.4 Failed payments

If a charge fails, we may retry it and may suspend or downgrade paid features until payment succeeds.

7.Cancellation and refunds

You can cancel at any time from your account settings (or by emailing legal@levelation.org). When you cancel, your paid access continues through the end of the billing period you have already paid for, and your membership does not renew after that.

We do not provide prorated or partial refunds for the unused portion of a billing period, except where a refund is required by applicable law or expressly offered at the point of purchase. Annual plans follow the same rule. Nothing in this Section limits any statutory cancellation or “cooling-off” right you may have under the law of the place you live (see Section 20).

8.Free, trial, scholarship, and sponsored access

We may offer free tiers, trials, scholarships, sliding-scale pricing, or organization-sponsored seats. We may set eligibility rules and limits for these, and we may modify or end them. Unless stated otherwise, a free trial converts to a paid membership at the end of the trial unless you cancel beforehand, and we will make the trial terms clear before you start.

9.Assessments, AI features, and no professional advice

Important — informational only Levelation’s assessments, scores, visualizations, AI Insights, and AI Learning Companion responses are educational and advisory only. They are not medical, psychological, diagnostic, legal, financial, employment, or other professional advice, and they are not a substitute for the judgment of a qualified professional. The Platform does not provide medical diagnosis or treatment. If you may have a medical or mental-health concern, contact a qualified provider; in an emergency, call your local emergency number.

Our assessment and AI features produce results from the inputs you provide and from public frameworks we map against. As described in our Privacy & Cookie Policy (§3), this profiling is advisory: it does not by itself deny services, set prices, or determine employment, credit, housing, or healthcare outcomes, and we do not use AI to make consequential decisions about you without human involvement. AI outputs can be inaccurate or incomplete; you are responsible for how you use them. We do not permit our AI providers to train on your content.

10.Acceptable use

You agree not to, and not to help anyone else:

  • break the law, infringe others’ rights, or violate these Terms;
  • upload or share content that is unlawful, harassing, hateful, defamatory, or that you have no right to share;
  • impersonate others, misrepresent your affiliation, or falsify assessment inputs to manipulate results;
  • probe, scan, or breach security; circumvent rate limits, paywalls, or access controls;
  • scrape, harvest, or bulk-extract Platform content or other members’ data, including for training machine-learning models, except through interfaces we expressly provide for that purpose;
  • introduce malware, overload or disrupt the Platform, or interfere with others’ use;
  • reverse-engineer or copy non-public parts of the Platform except where the law permits; or
  • resell, sublicense, or commercially exploit the Platform or its content without our written permission.

We may investigate and respond to suspected violations, including by removing content and suspending accounts (see Section 18).

11.Your content and the permission you give us

“Your Content” means the assessment responses, profile information, messages, posts, files, and other materials you submit. You keep all ownership of Your Content. You grant Levelation a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, and display Your Content only as needed to operate, secure, support, and improve the Platform and to provide the features you request.

Consistent with our Privacy Policy This license is limited to running the Service. It is not permission to sell or “share” Your Content, to use it for third-party advertising, or to let any AI provider train on it. Our handling of personal information in Your Content is governed by the Privacy & Cookie Policy, including our commitments on retention, sensitive data, and no sale or sharing.

If you post in community spaces or other shared areas, you grant other permitted members the access needed to view and interact with what you chose to share there. Feedback you send us (ideas, suggestions) is given freely, and we may use it without obligation to you. You are responsible for keeping your own copies of Your Content; deletion and retention are described in Section 18 and the Privacy Policy.

12.Our intellectual property

The Platform, including the Levelation assessment system, scoring engine, course materials, software, design, text, graphics, and the “Levelation” name and logo, is owned by Levelation International or its licensors and is protected by intellectual-property laws. Public frameworks we map against remain the property of their respective owners; our particular implementations, content, and compilations are ours. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform for your own non-commercial use (or, for organizational customers, for the internal use described in your order), subject to these Terms. All rights not expressly granted are reserved.

13.Third-party services, links, and app stores

The Platform integrates and links to third-party services (for example, payment, analytics, sign-in, and AI providers listed in our Privacy Policy). We do not control those services, and your use of them is subject to their terms and privacy policies. If you obtain the mobile app from the Apple App Store or Google Play, that store’s terms also apply, and where required those stores are intended third-party beneficiaries of these Terms with respect to the app.

14.Privacy

Our collection and use of personal information is described in our Privacy & Cookie Policy, which is part of these Terms. By using the Platform you acknowledge that policy, including our practices on assessment and AI data, international transfers, retention, and your privacy rights.

15.Disclaimers

Except where the law does not allow it, the Platform is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any result, score, insight, or recommendation will achieve a particular outcome. See Section 9 regarding the advisory nature of assessments and AI features. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

16.Limitation of liability

To the fullest extent permitted by law, Levelation and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Platform. To the fullest extent permitted by law, our total liability for all claims relating to the Platform in any 12-month period will not exceed the greater of (a) the amount you paid us for the Platform in that period, or (b) US$100.

Your statutory rights Nothing in these Terms excludes or limits our liability where it would be unlawful to do so — including for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited under the law of the place you live. If you are a consumer, you may have mandatory rights that these limitations do not affect.

17.Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold Levelation harmless from claims, losses, and reasonable expenses (including reasonable legal fees) arising from your misuse of the Platform, your violation of these Terms or the law, or content you submit. We will notify you of the claim, let you control the defense of claims arising solely from your conduct (with our right to participate), and cooperate reasonably. This Section does not apply to the extent a claim arises from our own wrongdoing.

18.Suspension and termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Platform or other users; where practical and lawful, we will give notice and an opportunity to cure. On termination, your right to use the Platform ends and we may delete or deactivate your account.

Deletion follows the Privacy Policy, not a blanket promise What we delete and when is governed by the retention schedule in our Privacy & Cookie Policy (§7). Some records are kept after termination where the law requires — for example, payment and tax records for at least seven years, and anything under a legal hold for the duration of the hold. Sections that by their nature should survive termination (including Sections 11 feedback, 12, 15–17, 20, and 21) continue to apply.

19.Changes to the Platform and to these Terms

We may update these Terms as the Platform evolves. For material changes, we will post the updated Terms with a new “last updated” date and, where the change adversely affects you in a significant way, give reasonable advance notice in the Platform or by email before it takes effect. Changes are not retroactive. Continuing to use the Platform after a change takes effect means you accept the updated Terms; if you do not agree, stop using the Platform and, if you have a paid membership, you may cancel under Section 7.

20.Governing law and dispute resolution

These Terms and any dispute relating to them or the Platform are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Levelation agree to the exclusive jurisdiction of the state and federal courts located in Alameda County, California, and waive any objection to venue there. We do not require binding arbitration, and there is no class-action waiver in these Terms.

Your local rights are preserved Nothing in this Section deprives you of the protection of mandatory consumer-protection or data-protection laws of the country, state, or province where you live, or of the right to bring proceedings or complaints there where the law gives you that right (including the privacy rights and supervisory-authority remedies described in our Privacy & Cookie Policy). Where local law conflicts with the venue choice above, the mandatory local rule applies to you.

We encourage you to contact legal@levelation.org first so we can try to resolve any concern informally.

21.General terms

Entire agreement. These Terms and the documents they incorporate are the entire agreement between you and Levelation about the Platform and replace any prior agreement on that subject.

Severability. If a provision is held unenforceable, the rest remains in effect, and the unenforceable provision is limited to the minimum extent necessary.

No waiver. Our not enforcing a provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.

Notices. We may give notice by posting in the Platform or emailing the address on your account; you give notice to us at legal@levelation.org.

Export and sanctions. You represent that you are not barred from using the Platform under applicable export-control or sanctions laws.

Language. If we provide a translation of these Terms, the English version governs if there is a conflict.
